Terms of Service

1. Overview

Foza ("Platform", "we", "us", or "our") operates a peer-to-peer marketplace that enables independent third-party AI model providers ("Providers") to list and sell access to their artificial intelligence model endpoints, and enables end users ("Buyers") to purchase API access to those models. Foza is a technology intermediary only — it does not develop, host, train, or operate any AI models listed on the marketplace.

2. Eligibility

• You must be at least 18 years old or the age of legal majority in your jurisdiction.
• You must have the legal capacity to enter into binding contracts.
• You may not use the Platform if you are barred from doing so under applicable law.
• By creating an account you represent that all information you provide is accurate and complete.

3. Marketplace Nature — No Endorsement

Foza is a marketplace intermediary. We do not:

• Develop, train, own, or control any AI models listed by Providers.
• Guarantee the accuracy, safety, quality, availability, or fitness for purpose of any AI model output.
• Verify or endorse the claims made by Providers regarding their models.
• Monitor the content of inputs sent by Buyers or outputs returned by Providers.
• Act as an agent, partner, employer, or franchisor of any Provider.

Providers are solely and exclusively responsible for the AI models they list, the outputs those models generate, and ensuring compliance with all applicable laws.

4. Provider Terms

If you register as a Provider, you additionally agree to the following:

4.1 Provider Responsibilities

• You are solely responsible for the quality, reliability, uptime, accuracy, and safety of your AI model endpoints.
• You must ensure your model, its outputs, and your use of any upstream API comply with all applicable laws, regulations, and the upstream provider's terms of service.
• You must not list models that generate illegal content, infringe intellectual property rights, or violate any applicable law.
• You are responsible for keeping your listed pricing accurate and for honoring that pricing to Buyers.
• You must promptly notify Foza of any security incidents affecting your endpoint.

4.2 Revenue Sharing

In exchange for access to the marketplace infrastructure, Providers agree to the following revenue sharing arrangement:

• A platform fee (the "Marketplace Fee") will be deducted from each transaction before earnings are credited to the Provider's wallet. The current Marketplace Fee rate is displayed in the Provider console and may be updated with 1 days' advance notice.
• Earnings are credited to the Provider's wallet after each successful request and are subject to minimum withdrawal thresholds.
• Foza reserves the right to withhold or reverse earnings if a transaction is disputed or if the Provider is found in breach of these Terms.

4.3 Provider Approval

Provider registrations are subject to review and approval by Foza. We reserve the right to reject, suspend, or revoke Provider status at our sole discretion without liability.

5. Buyer Terms

• Buyers purchase access to AI model endpoints offered by third-party Providers. Foza makes no warranty regarding the quality or fitness of any model.
• Buyers are responsible for evaluating the suitability of each model for their use case before relying on it.
• Buyers must not use the platform API to process data in violation of applicable privacy laws, export regulations, or third-party rights.
• Wallet funds are non-refundable except at Foza's sole discretion or as required by applicable law.
• Buyers are solely responsible for securing their API keys. Foza is not liable for unauthorized use of a compromised key.

6. Payments, Fees & Taxes

• All prices are displayed in US Dollars (USD) unless otherwise stated.
• Top-up payments are processed by third-party payment processors and are subject to their terms.
• You are responsible for all taxes applicable to your transactions, including VAT, GST, or withholding taxes.
• Foza reserves the right to update pricing with reasonable notice.

7. Prohibited Conduct

You may not use the Platform to:

• Generate, distribute, or facilitate illegal content including but not limited to CSAM, content promoting violence, or defamatory material.
• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any party.
• Reverse engineer, scrape, or attempt to extract Foza's proprietary systems.
• Circumvent rate limits, billing, or security controls.
• Use the platform for spam, phishing, or any fraudulent activity.
• Engage in any conduct that could disrupt or harm the platform or other users.

8. Intellectual Property

The Foza name, logo, interface, and underlying platform technology are the intellectual property of Foza and may not be used without express written permission. Providers retain ownership of their model endpoints and configurations. Buyers retain ownership of the prompts they submit. Neither party grants the other any rights beyond those necessary to fulfill the marketplace transaction.

9. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND AI MODEL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. FOZA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. AI MODEL OUTPUTS ARE GENERATED BY THIRD-PARTY PROVIDERS AND FOZAEXPRESSLY DISCLAIMS ALL RESPONSIBILITY FOR THEIR CONTENT, ACCURACY, OR CONSEQUENCES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• FOZA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO FOZA IN THE 3 MONTHS PRECEDING THE CLAIM.
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF FOZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Foza, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; (d) in the case of Providers, any claim related to your AI model, its outputs, or your upstream API usage; or (e) any content you submit through the Platform.

12. Termination

Foza reserves the right to suspend or terminate your account, with or without notice, for any reason including but not limited to violation of these Terms. You may close your account at any time. Upon termination, your right to access the Platform ceases immediately. Sections 3, 7, 9, 10, 11, and 13 survive termination.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms shall first be submitted to good-faith negotiation. If not resolved within 30 days, disputes shall be settled by binding arbitration. Class action waiver: you waive any right to participate in a class action lawsuit or class-wide arbitration against Foza.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be notified via email or an in-platform notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
